Rules & Restrictions
By participating in the RESONATE Podcast Competition (the “Contest”), participants agree to the official rules, and that VPM Media Corporation Resonate, ICA and all parties acting in concert with them, including without limitation any producers, sponsors, service providers and affiliates or agents or employees thereof (the “Contest Entities”) will have no liability whatsoever for any injuries, losses, or damages of any kind resulting from their use or participation in the call for performances or participation in or utilization of any prizes awarded. Prize is nontransferable and cannot be exchanged for cash. Each participant agrees to release and hold harmless the Contest Entities from any injury, loss, death, damage, action, claim, demand or other liability that may occur from entrant's participation in this Contest or from the acceptance, use or misuse of any prize awarded, or attendance at any event, including the 2022 RESONATE Audio Festival (the “Festival”). We reserve the right to verify eligibility qualifications of any winner. There can be no substitutions for a prize of equal or greater value.
Copyright for the entries will remain solely with the applicants, though applicants acknowledge that there may be multiple submissions that are similar in nature. By entering, you are giving VPM Media Corporation permission to use your entry online (including via streaming and downloadable media) and in the RESONATE Audio Festival venue. Each entrant (including all members of each entrant that is a group) grants permission to VPM and those acting under its authority to use their name, photograph, voice and/or likeness, for advertising and/or publicity purposes, as well as all submissions and performances in any and all media now known or hereinafter invented without territorial or time limitations and without compensation. Each entrant represents and warrants that all submissions shall be free of malware or other viruses, and all submissions and resulting work product will not contain any material that is obscene, violates the legal rights of any third party (including any third party intellectual property rights), or defames any third party. Each entrant agrees to indemnify, defend and hold harmless the Contest Entities from any violation or breach of these official rules by such party.
In addition, finalists agree that during the mentoring period ending October 7, 2022, you will work exclusively with VPM on your podcast idea and you will not discuss your idea or those of other finalists with any other producers or production organizations.
The award of the grand prize involves production support and funding that will be provided pursuant to a pilot production agreement furnished by VPM, which may include customary terms including exclusive distribution and monetization rights for VPM, an option to VPM to order additional episodes of the podcast at a production budget per episode comparable to the pilot episode, and attachment to derivative productions. Please note that the winning participant shall retain copyright ownership in and to the pilot and any series based on the pilot. Refusal to be bound by VPM’s pilot production agreement may result in forfeiture of the grand prize.
The finalists will be selected based on the criteria set forth above from among all eligible entries received by the deadline date. We will notify using the email address associated with your entry. Failure to provide an accurate, working email account through which we can contact you will disqualify you. All finalists are solely responsible for all costs and expenses associated with attendance at the Festival, other than entry to the Festival which will be provided for the finalists.
Each finalist also agrees to give VPM an exclusive 90-day option upon the October 15 conclusion of the RESONATE Audio Festival, to negotiate a production agreement for your podcast. Without limitation of any option granted in favor of VPM in the pilot production agreement, the grand prize winner further agrees to extend this to 90 days after the completion of the production of the pilot episode. Each finalist may be required to complete and submit additional documentation as requested by VPM, including to verify eligibility and confirm acceptance of these rules. The Contest Entities reserve the right to revoke any determination of a finalist or grand prize winner at any time for any reason, including for any failure of such party to comply with these rules. We reserve the right, at our sole discretion, to disqualify any individual we find to be tampering with the entry process or the operation of the Contest or web site; to be in violation of the terms of service of the Contest Entities' web site; to be acting in violation of these rules; or to be acting in a disreputable or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.
As a condition of participating in this Contest, each entrant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in Richmond, VA, having competent jurisdiction, which court shall apply the laws of Virginia. Further, in any such dispute, under no circumstances will any entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, nor consequential damages, and entrant further waives all rights to have damages multiplied or increased.
Restrictions may apply. By participating in the RESONATE Podcast Competition, you agree to be bound by these official rules, and by all decisions of VPM Media Corporation staff and contest judges.
